LLC Law § 301(e) sets out the only recurring obligation New York imposes on a limited liability company: a Biennial Statement, $9, filed once every two years inside the calendar month that your Articles of Organization were accepted. No annual report sits behind it and no separate renewal fee. Annualized, the state's demand on your company is $4.50.

A $199 renewal is therefore about forty-four times what New York itself charges to keep an entity current. The comparison is not an accusation. It is a measurement of how much of this purchase is discretionary, and in New York the answer is all of it, because the underlying appointment was never optional to begin with. Process against a New York LLC may always be served on the Secretary of State, an appointment fixed by statute at formation and removable by no filing and no vendor. What a private designation buys is a second, faster, more private delivery route beside that permanent one.

What the $99 Contains

A single rate, disclosed in full. Removing a ZenBusiness Designation Under New York Procedure

New York handles this through a single instrument, and the steps run in a fixed order.

1. Confirm the incoming agent qualifies. New York recognizes four candidates: a resident individual, an individual with an in-state business address, an LLC that is domestic or authorized here, and a corporation in either of those same positions.
2. Engage that agent before filing anything. The certificate cannot be completed without the successor's name and street address, so the commercial relationship necessarily precedes the paperwork.
3. Prepare form DOS-1359-f, the Certificate of Change for a domestic LLC. An LLC formed elsewhere and authorized in New York files DOS-1362-f, which is a separate form despite the resemblance.
4. Submit it to the New York Department of State, Division of Corporations, with $30. That is the fee for a certificate filed by the company. Two other figures circulate in New York guidance, $5 and $20, and both attach to filings made by an agent rather than by an entity.
5. Verify the updated record, then close the ZenBusiness account. ZenBusiness holds the designation until the Department processes the certificate.

The sequence protects continuity rather than legality. No New York LLC can be left unreachable by a badly timed switch, because the state's own appointment continues throughout. What poor sequencing interrupts is the delivery channel you are paying for, which is the only part of the arrangement you actually control.
