The Bizee figures are the vendor's own, taken from published pricing during our July 2026 verification and reproduced without adjustment. Bizee operated as Incfile until its rebrand, and older comparison material still uses that name.

The Bundled Period Is Real Value

Registered agent coverage comes attached to Bizee's formation packages at no extra charge, for a window that runs anywhere from three months to twelve, according to the tier purchased. Our review found no activation charge, no shortened service, and no stated penalty for departing when the window closes. A company forming in New York through Bizee receives a functioning agent for free during the period when capital is scarcest. That is a legitimate benefit, and an assessment that buried it would be worth less than nothing.

The Conversion Is Where the Cost Lives

Standalone Bizee agent service is $149 per year, and $149 is what the included window converts into once it closes. The figure is published openly; the difficulty is temporal rather than disclosive. Owners accept a bundled benefit at formation, when attention is divided across a dozen decisions, and encounter the recurring rate a year later on a payment method configured and forgotten.

Placed against New York's own schedule, $149 a year comes to $298 across a single biennial cycle. The Department of State collects $9 in that same twenty-four months, for the Biennial Statement, and collects nothing else recurring. The disparity is not evidence of misconduct. It is a measure of how much of an agent subscription in this state is optional value, and optional value is the only kind New York sells.

The Consequence of Letting the Window Lapse

This is where New York departs from almost every other state, and the departure matters to how urgently you should act.

In most jurisdictions an expired agent appointment threatens the entity itself. Not here. Your LLC holds a second appointment it never negotiated: the Secretary of State is its agent for service of process, established at formation and untouchable by any subsequent filing. When a Bizee bundle expires without a replacement in place, nothing is forfeited, no authority is revoked, and process continues to be accepted by the state and forwarded to the mailing address in your public record.

What lapses instead is the thing you were actually buying. Documents stop moving through a channel with a named recipient and start moving through the mail to an address that anyone can retrieve from the state's database. That is a downgrade worth $99 to avoid, but it is not a crisis, and treating it as one would be a scare tactic rather than an analysis.

Eligibility is worth reading once while you shop, because it disqualifies fewer candidates than owners expect. Under LLC Law § 302(b) a designated agent may be an individual who lives in New York, an individual whose business address is in New York, an LLC formed here or admitted here, or a corporation in the same two conditions. Every commercial provider satisfies that test, so the statute will not shorten your list. Price and handling have to do it.

The $99 Version, Without an Expiry Date

The transfer runs on a Certificate of Change. For a domestic limited liability company that is form DOS-1359-f, and the Division of Corporations charges $30 to record it. Foreign LLCs authorized in New York use DOS-1362-f, which looks similar and is not interchangeable. Two smaller New York fees appear in search results and belong to filings an agent makes rather than filings a company makes, so $30 is the figure to budget.

Sequence the transfer so that the successor is engaged, the certificate is filed, and the record is confirmed before anything is cancelled at Bizee. The reason is continuity of delivery rather than exposure to risk: New York never leaves a company unreachable, but it will happily leave your documents routed to a vendor whose free window closed months ago.
